About the role

 

We are inviting applications for a Legal Counsel – Corporate to join Orica’s Head Office legal team in Melbourne. This is a highly visible role, partnering closely with senior leaders and internal stakeholders across the business on matters impacting Orica’s corporate operations globally.

You will work alongside colleagues in the legal function and across corporate teams on strategic and enterprise‑wide initiatives, supporting the business to balance risk and opportunity in a dynamic and evolving environment. This role is a great opportunity for someone looking to move from private practice or another in‑house role into a broad, visible corporate position with genuine exposure to senior decision‑making.

What you will be doing


•    Drafting, reviewing and negotiating a broad range of legal documentation across the Orica Group, including M&A documentation, license and lease agreements, research and technology agreements, and standard form contracts and terms.
•    Working closely with corporate functions including Business Development, Company Secretariat, Treasury, Tax, HR, Investor Relations, and Communications.
•    Advising on complex corporate and commercial matters, and managing external counsel where required.
•    Monitoring legal and regulatory developments and supporting the business with practical, preventative risk management advice.
•    Supporting intellectual property and technology/IT matters, and assisting with verification of investor‑related documentation.
•    Assisting with cross‑border M&A transactions, capital raisings and other initiatives.
•    Managing disputes, including litigation and arbitration.
•    Supporting selected corporate governance matters, including company secretariat activities.

What you will bring


•    A law degree and a current practicing certificate.
•    Around 4+ years’ post‑qualification experience, ideally combining top‑tier private practice with in‑house or secondment experience. Experience in mining or resources is advantageous but not essential.
•    Strong drafting and negotiation skills, including experience with M&A transaction documentation. Capital markets exposure is beneficial.
•    Experience operating in complex, fast‑paced environments with competing priorities.
•    Exposure to competition law, privacy, intellectual property and technology matters is advantageous.
•    Clear and effective communication skills, sound judgement, and a collaborative approach.
•    A reputation for integrity, resilience and professionalism.
